For the purposes of these Conditions, the following terms, in the singular and the plural, have the meaning set out below:
- Owner: Mative S.r.l., as identified in § 1.
- Application: the website www.mative.ai and the tools accessible through it.
- User: any person who accesses or uses the Application.
- Consumer: a natural person acting for purposes outside any business, commercial, craft or professional activity they may carry on, within the meaning of Article 3(1)(a) of Italian Legislative Decree 206/2005 (the “Consumer Code”).
- Products: the digital products and services of the Mative Cloud suite and the related professional services offered by the Owner.
- Supply Contract: the separate agreement governing the supply of the Products, concluded as set out in § 5.
- Conditions: this document.
3. Intended audience and nature of the Application
The Application and the Products are addressed to businesses, professionals and public bodies. A User who uses the Application as a Consumer retains the rights that the law grants them on a mandatory basis: any clause of these Conditions limiting those rights cannot be relied on against them, and the remaining clauses remain in force.
The Application does not host an online purchase process: it is not possible to place an order, make a payment, take out a subscription or create an account through the site. Information about the Products, their prices and commercial terms published on the Application is for information and promotional purposes only and does not constitute an offer to the public within the meaning of Article 1336 of the Italian Civil Code.
The Application is not intended for persons under eighteen years of age.
4. Scope and amendment of the Conditions
These Conditions apply to the use of the Application. A User who does not wish to accept them must refrain from using the Application and its tools.
The Owner may amend the Conditions for regulatory, technical or organisational reasons. Amendments take effect upon publication on the Application, with an update of the date shown above, and apply to use of the Application after publication; they have no retroactive effect and do not alter Supply Contracts already concluded.
The Owner reserves the right to change at any time the graphical interface of the Application, its contents and their organisation, and any other aspect of the functionality and management of the Application.
Users are invited to save or print a copy of these Conditions for future reference.
5. Information requests and the Supply Contract
A User interested in the Products submits a request to the Owner through the forms on the Application, by e-mail or through the commercial channels. The request is a mere expression of interest and binds neither party.
The Owner issues a written commercial proposal setting out the description of the Products, the consideration or the method for determining it, ancillary charges, delivery times and methods, duration and renewal terms.
The Supply Contract is concluded upon written acceptance of the proposal and confirmation by the Owner. Prices, payments, invoicing, renewals, trial periods, withdrawal, refunds, warranties, service levels, liability and jurisdiction relating to the Products are governed exclusively by the Supply Contract, which prevails over these Conditions in the event of conflict.
Descriptions and images of the Products published on the Application may contain inaccuracies or differ from the Product actually supplied; images are representative and do not form part of the contract. The description contained in the commercial proposal prevails in all cases.
6. Job applications and newsletter
Submitting a job application through the Careers section does not constitute an offer or a promise of employment.
The newsletter subscription can be cancelled at any time, through the link included in every message or as described in the Privacy Policy.
7. Industrial and intellectual property rights
All content of the Application — text, documents, trade marks, logos, images, graphical elements, source code, their arrangement and adaptations — belongs to the Owner or to the respective rights holders and is protected by copyright law (Italian Law 633/1941) and trade mark law (Italian Legislative Decree 30/2005 and Regulation (EU) 2017/1001).
“Mative – Connecting Intelligence” is a European Union figurative trade mark registered with the EUIPO under no. 019205348, in classes 9 and 42, owned by Mative S.r.l. Any unauthorised use is prohibited.
Any third-party trade marks, logos and names appearing on the Application belong to their respective owners and are shown for identification purposes only.
Save for uses permitted by law and for personal consultation, it is not permitted to copy, reproduce, modify, distribute, publish, decompile or otherwise use the content of the Application without the Owner's prior written consent. Pursuant to Article 70-quater of Italian Law 633/1941, the Owner expressly reserves text and data mining of the content of the Application, including by automated means, for commercial purposes or for training artificial intelligence systems.
Nothing in these Conditions may be construed as granting any licence or right over the content of the Application.
8. Permitted use of the Application
The User undertakes to use the Application in compliance with the law and these Conditions and, in particular, not to:
- access or attempt to access areas, systems or data not expressly made available;
- interfere with the proper functioning of the Application, overload its infrastructure, or circumvent security measures and anti-abuse limits;
- carry out bulk automated collection of content or data (scraping), except with express written authorisation;
- submit through the forms or the AI assistant any unlawful or defamatory content, content infringing third-party rights, or third-party personal data in the absence of a proper legal basis;
- use the AI assistant for unlawful purposes or to generate content that infringes the rights of others.
9. AI assistant and AI Project Maker
The Application provides a conversational assistant (MAVI) and a project-outline generator (AI Project Maker). When using them, the User is interacting with artificial intelligence systems, not with a person. The text is generated automatically by a large language model served by Groq, Inc., with a search of Mative's documentation.
Answers and outlines are produced automatically, may contain errors, omissions or inaccurate statements, and are provided for information and orientation purposes only. They do not constitute technical, legal, tax or professional advice, nor an offer or binding contractual proposal on the part of the Owner, and cannot found any reliance as to the prices, timescales, features or feasibility of the Products. The User must check them before relying on them; the Owner does not warrant that they are original or free of third-party rights. The User may use the generated outlines for their own internal purposes.
The prices, timescales and features of the Products are exclusively those set out in the written commercial proposal referred to in § 5.
Users are invited not to transmit confidential information, unnecessary personal data or special categories of data to the AI assistant. How the transmitted data is processed is described in § 5 of the Privacy Policy.
10. Exclusion of warranty in respect of the Application
The Application — as an informational website, offered free of charge — is provided “as is” and “as available”. The Owner does not warrant that it will meet any specific requirement of the User, that it will be free from interruptions, errors, viruses or defects, or that its content will at all times be complete and up to date.
The Owner endeavours to ensure the continuous availability of the Application, but access may be suspended, including without notice, due to faults, maintenance, updates, causes beyond the Owner's control or events of force majeure.
Warranties relating to the Products are governed exclusively by the Supply Contract and the applicable service levels, and are unaffected by this article.
11. Limitation of liability
The limitations and exclusions set out in this article do not apply in the event of wilful misconduct or gross negligence on the part of the Owner, nor in cases where the law does not permit liability to be limited, including personal injury, nor to the mandatory rights of the Consumer. Every provision of this article is subject to that reservation, which applies to its entire content.
To the extent permitted by law, and subject to the reservation above, the Owner is not liable for:
- disruptions or malfunctions connected with the use of the internet outside its own sphere of control or that of its suppliers;
- loss of business opportunity, loss of profit, loss of goodwill or of data, and generally indirect or consequential damage that is not an immediate and direct consequence of a breach by the Owner;
- incorrect or improper use of the Application by the User or by third parties;
- reliance placed on content generated by the tools referred to in § 9 without the check required there.
Subject to the reservation in the first paragraph, since the Application is offered free of charge, the Owner's liability for damage arising from its use is limited to direct damage that was foreseeable when the obligation arose. Liability relating to the Products is governed exclusively by the Supply Contract.
12. Links to third-party sites
The Application may contain links to third-party sites or applications, over which the Owner exercises no control and for whose content it is not responsible.
Where such links lead to services provided by third parties, those relationships are governed by the terms laid down by those third parties.
13. Protection of personal data
Personal data is processed in accordance with Regulation (EU) 2016/679 and applicable national law, as described in the Privacy Policy and the Cookie Policy.
Where, in performing a Supply Contract, the Owner processes personal data on behalf of the customer, the parties enter into a specific agreement under Article 28 GDPR, which forms an integral part of the Supply Contract.
14. Governing law and jurisdiction
These Conditions are governed by Italian law. A Consumer habitually resident in another State retains the protection of the mandatory rules of the law of that State, pursuant to Article 6 of Regulation (EC) 593/2008.
Disputes with a Consumer fall within the jurisdiction of the court of the place where the Consumer resides or is domiciled, if located in Italy (Article 66-bis of the Consumer Code). Jurisdiction for disputes relating to the Products is set out in the Supply Contract.
15. Final provisions
The invalidity or ineffectiveness of any individual clause does not affect the validity of the remaining provisions, which continue in full force.
The Owner's tolerance of conduct by the User that departs from these Conditions does not constitute a waiver of the rights arising from them.
Communications to the Owner are validly made to the addresses set out in § 1.
